AMETEK ACQUIRES SOLIDSTATE CONTROLS, INC.

Acquisition Broadens AMETEK’s Product Offering to the Process and Power Industries

Paoli, PA, March 5, 2003 -- AMETEK, Inc. (NYSE: AME) today announced the acquisition of Solidstate Controls, Inc., a leading supplier of Uninterruptible Power Supply (UPS) systems for the process and power generation industries, from Columbus Sales Corp., an affiliate of Marmon Industrial Companies LLC, for approximately $36 million. With its headquarters in Columbus, Ohio, Solidstate Controls has approximately 250 employees and estimated 2003 sales of $45 million.

Solidstate Controls designs and manufactures highly customized inverters and UPS systems that its customers use to ensure a steady supply of clean power to keep their critical processes functioning properly. These critical processes typically involve harsh environments and have a correspondingly high cost of failure. Key markets for Solidstate’s products are oil production, oil refining, chemical, petrochemical, steel and power generation (including fossil fuel and nuclear power utilities).

Solidstate Controls joins AMETEK as part of its Electronic Instruments Group (EIG) --a recognized leader in advanced monitoring, testing, calibrating and display instruments. AMETEK EIG sells its instruments to the process, aerospace, power, and industrial markets worldwide and had 2002 sales of approximately $540 million.

Solidstate Controls, Inc. Announces New ISO 9000 Upgrade Certification

Solidstate Controls Inc. (SCI) Columbus, Ohio, was recently certified as being in compliance with ISO9001:2000 by ITS Intertek Services. This is the latest in their ongoing process of obtaining and maintaining ISO Certification.

SCI began preparing for their certification in 1999 by creating an ISO Certification Team. Leading this team are Bob George, Quality Systems Manager and Bill Hampton, Director of Quality Assurance. Together, with a group selected from every area of the company, they began the involved process. In February 2000 they passed their initial audit (by ITS Intertek Services) with no significant findings. They have passed every assessment since (one every 6 months) and now proudly display their newest certification to ISO9001:2000.

ITS Intertek Services was the first accredited ISO 9000 registrar in the United States. Since 1991, ITS Intertek has been extremely active in engaging U.S. manufacturers in the ISO process. “Being ISO certified has a great recognition internationally, and even domestically”, stated Bill Hampton. “Many companies use this as a benchmark, and base purchasing choices on companies that are ISO certified. Achievement of ISO9001:2000 certification reflects SCI's dedication to fulfilling our client’s needs and requirements, as well as continuous improvement. Besides being significant to outside clients, it has a major effect on us as a company. We know we are doing our jobs and our processes are adhering to a consistent standard. Solidstate Controls, Inc. Announces New Appointment

Solidstate Controls, Inc., (SCI) of Columbus, Ohio, USA has announced the appointment of George Ardolino as President/General Manager. Mr. Ardolino succeeds Peter Benson, who will continue to serve the company as a business consultant for the next six months.

Mr. Benson is retiring after nearly 13 years with the company. Mr. Ardolino has been with Solidstate Controls for nearly 12 years, most recently as Vice President of Sales, Engineering and Service.

Commenting on Mr. Ardolino’s promotion, Henry West, Senior Vice President of The Marmon Group, Inc., noted that “George’s vast experience in the UPS industry will serve him well in his new leadership role.” Mr. West expressed confidence that “the transition will be smooth, that the unique corporate culture of Solidstate Controls will continue and that the business will thrive.”

Solidstate Controls is a member of The Marmon Group, an international association of manufacturing and service companies with collective sales of $6 billion.

New Battery Management System from Solidstate Controls Features State-of-the-Art Monitoring and Communications Capability

Solidstate Controls, Inc., of Columbus, Ohio, USA has announced an enhancement to upgrade its Battery Management product line. The BMS2000V product line, like its predecessor, the BMS2000, is designed for use in process control applications in the power generation, petrochemical, pulp and paper, steel making, pharmaceutical, glass and textile industries.

While the basic functionality of the units is the same, they do employ slightly different techniques. Both models monitor individual cell (jar) voltage, connection resistance and internal ohmic measurements. (The BMS2000V measures impedance rather than resistance.) The BMS2000V has a wider range of cell configurations available - it can accommodate battery systems from 12 volts to 480 volts.

Other improvements are in the software and communications capabilities. The BMS2000V software offers a wider range of monitoring and control, and includes enhanced communications features, including up to 3 RS232 ports, TCP/IP, RS485, and MODBUS protocol. The software also includes a "Battery Time Remaining" feature that enables the user to monitor the relative battery run time remaining during a discharge. The BMS2000V also provides the "springboard" to SCI's soon to be implemented Total System Monitoring concept, which will enable our clients to monitor not only their battery, but also their SCI UPS system(s). More details on that will be coming in the next few months.

3 Phase Digital PROCESSPOWER UPS (3DPP)

Solidstate Controls, Inc. (SCI), of Columbus, Ohio, USA is pleased to announce the introduction of its latest product offering, the 3DPP series UPS system. The 3DPP series is part of SCI’s PROCESSPOWER® family of UPS products. The 3DPP is a true, on-line doubleconversion system, that provides clean, regulated, continuous power for critical AC loads. The 3DPP utilizes a state of the art digitally controlled Pulse Width Modulated (PWM) inverter design that offers advanced communications and control capability. These systems add to SCI's already broad range of electrical distribution equipment that includes Ferroresonant UPS systems and inverters.

3DPP systems are ideally suited for the needs of the Chemical, Offshore Oil Platform, Process Control, Power Generation, and Petrochemical industries. The 3DPP design incorporates input and output isolation transformers, a dual-source, fully controlled and rated static switch, and a customer-specified internal or remote manual bypass switch. The unit includes a manmachine interface panel with LCD touch screen that enables continuous monitoring of system status, and displays the information via an operational mimic diagram on the LCD panel. User friendly system ãHelpä buttons and system messages are strategically placed to describe and define menu- key functions and displayed data. The menu-driven touch screen is password protected against unauthorized or inadvertent access.

Located directly beneath the display screen is a system interface keypad that provides control of all critical UPS functions, eliminating the reliance on the touch screen for basic operational control of the UPS system. The system’s serial (Db9) communications capabilities allow users access to advanced system diagnostic features as well as system adjustments. System reports include information on system voltage, current and frequency, as well as active and historical alarm events, and battery discharge activity. The data logging feature further enhances the user’s ability to quickly troubleshoot the system, and trend battery usage.

Having the best of both Ferroresonant and PWM based UPS systems makes SCI unique in the Industrial UPS market, enabling the company to offer a full range of solutions to our clients' power protection needs.
